Terms of Service

Please read these terms carefully before using Compass.

1. Acceptance of Terms

By accessing or using Compass ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including organizations and their authorized personnel.

2. Description of Service

Compass is an AI-powered knowledge assistant that allows organizations to upload documents, policies, and procedures and query them using natural language. The Service is provided by Directlink and is intended for enterprise use in regulated industries.

To use Compass, you must register for an account and provide accurate information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

You retain ownership of all documents and content you upload to Compass. By uploading content, you grant Directlink a limited license to process that content solely for the purpose of providing the Service. Directlink retains all rights to the Compass platform, software, and AI models.

6. Data and Privacy

Your use of Compass is also governed by our Privacy Policy. Your data is stored in a private cloud environment and is never used to train external AI models or shared with third parties without your consent.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to perform maintenance, updates, or modifications at any time. We will make reasonable efforts to notify customers of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by law, Directlink shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amounts paid by you in the twelve months prior to the claim.

9. Termination

Either party may terminate access to the Service with 30 days written notice. Directlink may suspend or terminate access immediately for material breach of these terms. Upon termination, your data will be retained for 90 days then deleted.

10. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Onondaga County, New York.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. Material changes will be communicated via email or in-app notification.
